Welcome to Chiboki! References to “we”, “us” and “our” mean Chiboki. Chiboki owns and operates this store and website, including all related information, content, features, tools, products and services associated with orders to deliver a curated shopping experience (“Services”) for you, our customer. Our store is powered by Shopify to support our Services.

These Terms of Service, together with all policies referenced herein (collectively the “Terms”), set forth your rights and responsibilities when using our Services.

Please read these Terms carefully as they contain critical legal information including disclaimers and limitations of liability.

Without our prior written consent, you may not copy, distribute, modify, create derivative works, publicly display, perform, republish, download, store or transmit any content from our platform. Nothing in these Terms shall be deemed to grant you any intellectual property license from Chiboki, Shopify or any third party. Chiboki’s business name, logos, product names, designs and slogans are trademarks of Chiboki or its authorized affiliates and may not be used without our written approval. Shopify’s name, logo, product names and branding are trademarks of Shopify Inc. All other trademarks featured on our Services belong to their respective owners.

Our Services may include access to third-party tools over which we have no monitoring or operational control.

You hereby release Shopify and its affiliates from all claims, losses and liabilities arising out of your transactions with Chiboki.

(2) You disclose any compensation associated with your Feedback submission;

(3) Your Feedback complies with all provisions of these Terms.

We are not obligated to keep your Feedback confidential, provide monetary compensation or reply to your submissions. We reserve the right (but have no obligation) to moderate, edit or delete content we deem unlawful, offensive, threatening, defamatory, obscene or otherwise objectionable, or content infringing third-party intellectual property rights or violating these Terms.

You agree your Feedback will not violate any third-party copyright, trademark, privacy or personal rights and contains no defamatory, illegal, abusive content or computer malware that disrupts website operation. You may not use fake email addresses or impersonate others to disguise the source of your Feedback. (6) Bypass our site security, access control and anti-bot protective measures.

We may suspend or permanently terminate your user account without advance notice upon confirmed breach of this clause.

Section 14 – Automated Agents


14.1 Scope


This clause applies if you deploy, authorize or enable any automated Agent to access or interact with our Services. An “Agent” means any automated software operating autonomously on your behalf without continuous human supervision.

14.2 Agent Access Rules


No automated Agent may access our Services unless properly identified following Section 14.4; we may fully block all Agent traffic at our sole discretion.

14.3 Technical Restrictions


We may implement technical safeguards to limit automated Agent access to our platform.

14.4 Mandatory Agent Requirements


All automated Agents must:

(1) Disclose its identity within HTTP User-Agent string in format: Agent/[Agent Name];

(2) Not disguise automated access by simulating human browsing or bypassing CAPTCHA and human verification systems;

(3) Answer human-or-robot verification prompts truthfully;

(4) Refrain from circumventing our anti-Agent access restrictions.

Section 15 – Termination


We may terminate this Agreement and your access to Services at any time without prior notice, while you remain liable for all outstanding fees accrued up to the termination date.

Upon termination, the following clauses remain legally effective: Intellectual Property, Feedback, Termination, Disclaimer, Limitation of Liability, Indemnification, Severance, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy and all provisions intended by their nature to survive contract end.

Section 16 – Disclaimer of Warranties


All content on our Services is for general reference only, and we do not guarantee information accuracy, completeness or practicality. You rely on published content entirely at your own risk, and we disclaim all liability arising from user dependence on such materials.

Unless otherwise agreed in writing by Chiboki, our Services and all sold products are provided on an “as-is” and “as-available” basis without express or implied warranties including merchantability, fitness for a specific purpose, durability, title and non-infringement. We do not warrant uninterrupted, timely, secure or error-free platform performance. Section 17 – Limitation of Liability


To the fullest extent permitted by applicable law, Chiboki, its partners, directors, staff, affiliates, agents, contractors and service providers together with Shopify and its related entities shall not be held responsible for personal injury or any direct, indirect, incidental, punitive, special or consequential damages including lost profits, lost revenue, lost savings, data loss and replacement costs. This limitation applies regardless of legal grounds such as contract, negligence or strict liability, even if we have been advised of possible damage risks.

Section 18 – Indemnification


You agree to defend, indemnify and hold harmless Chiboki, Shopify, our affiliates, management, employees, agents and contractors against all third-party claims, damages and reasonable attorney fees caused by:

(1) Your breach of these Terms or referenced incorporated policies;

(2) Your violation of applicable laws or third-party legal rights;

(3) Your access and use of our Services.

We will notify you promptly of any indemnifiable claim; delayed notification does not release your indemnity obligations unless you suffer substantial proven loss from delayed notice. We reserve the right to control litigation and settlement at your cost including legal counsel selection, and will not settle non-monetary claims without your reasonable consent. You shall fully cooperate with claim defense and document submission.

Section 19 – Severance


If any clause of these Terms is ruled unlawful, invalid or unenforceable, such provision shall be enforced to the maximum legal limit and severed from the rest of the Terms, and the validity of remaining contract clauses stays unaffected.

Section 20 – Waiver and Entire Agreement


Our failure to enforce any right or provision under these Terms does not constitute permanent waiver of such clause.

These Terms plus all store policies published on our website constitute the full binding agreement governing your Service usage and supersede all prior oral or written negotiations and contracts between both parties. Any contractual ambiguity shall not be interpreted against the drafting party.
